Terms of service

These Terms of Service (the “Terms”) are a binding agreement between VaidyaX (“VaidyaX”, “we”, “us”, “our”) and the clinic, hospital, or individual practitioner that registers for or uses our platform, apps, and website (together, the “Service”, and you as the “Customer” or “you”). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you accept on behalf of an organisation, you confirm that you are authorised to bind it. If you do not agree, do not use the Service.
1. The service
VaidyaX is a subscription clinic-management platform: appointments, patient queue, digital prescriptions, billing and payments, patient communication over WhatsApp and SMS, reporting, and template-based clinic websites. We may add, change, or improve features over time and will not materially reduce the core features of your plan during a paid term.
2. Eligibility and accounts
To use the Service you must provide accurate registration information, be legally capable of entering this agreement, and keep your account and staff credentials secure. You are responsible for all activity that occurs under your accounts and must notify us promptly of any unauthorised use.
3. Your responsibilities
You are responsible for the accuracy of the data your clinic enters; for obtaining any patient consents required for the data you store and the messages you send; and for using the Service in compliance with applicable medical, telecom and messaging (including DND/consent rules), tax, and data-protection laws in your jurisdiction.
4. Acceptable use
You agree not to misuse the Service, including by sending spam or unlawful messages, violating patient privacy, infringing intellectual-property or other rights, uploading malicious code, attempting to gain unauthorised access, or reselling the Service without our permission. We may suspend accounts that put other clinics’ data or the platform at risk.
5. Subscriptions, billing, and taxes
Paid plans are billed monthly or annually in advance. Prices are shown exclusive or inclusive of applicable taxes (such as GST) as indicated at checkout. Upgrades take effect immediately; downgrades and cancellations take effect at the end of the current billing period. Except where required by law, fees already paid are non-refundable.
6. Free trial
Where offered, a free trial gives access to the selected plan for the stated period without a card. At the end of the trial your account converts to a paid subscription only if you choose to subscribe; otherwise access to paid features ends. We may modify or withdraw trial offers at any time.
7. Customer data and privacy
You retain all rights to the data your clinic enters (“Customer Data”). You grant us the limited rights needed to host, process, and provide the Service and support. We handle personal data as described in our Privacy Policy and act as a Data Processor for the clinical records your clinic controls.
8. Third-party services
The Service integrates with third parties such as payment gateways and messaging providers. Your use of those services may be subject to their own terms, and we are not responsible for their acts, omissions, availability, or fees.
9. Intellectual property
The VaidyaX platform, software, templates, and brand are owned by us and our licensors. These Terms do not transfer any ownership of our intellectual property to you; you receive only a limited, non-exclusive, non-transferable right to use the Service during your subscription.
10. Availability and support
We aim to keep the Service available and reliable and to provide support through the channels listed on our website. Planned maintenance and factors beyond our reasonable control may cause occasional interruptions, for which we are not liable.
11. No medical advice; disclaimers
VaidyaX supports clinical and administrative workflows but does not provide medical advice, diagnosis, or treatment. All clinical decisions remain the sole responsibility of the treating practitioners. Except as required by law, the Service is provided “as is” and “as available” without warranties of any kind, whether express or implied.
12. Limitation of liability
To the maximum extent permitted by law, VaidyaX will not be liable for any indirect, incidental, special, or consequential damages, or for loss of profits, data, or goodwill. Our total liability for any claim arising out of or relating to the Service is limited to the fees you paid for the Service in the twelve months preceding the event giving rise to the claim.
13. Indemnification
You agree to indemnify and hold VaidyaX harmless from claims, losses, and expenses arising out of your Customer Data, your use of the Service in breach of these Terms, or your violation of applicable law or third-party rights.
14. Suspension and termination
You may cancel at any time from your account. We may suspend or terminate access for non-payment, breach of these Terms, or risk to the platform, giving notice where practicable. On termination you may export your Customer Data for a limited period, after which it may be deleted in line with our Privacy Policy.
15. Changes to these terms
We may update these Terms from time to time. We will post the updated version here with a new “last updated” date and, for material changes, provide additional notice. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
16. Governing law and jurisdiction
These Terms are governed by the laws of India. Subject to any mandatory rights you may have as a consumer, the courts at Bengaluru, Karnataka will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service.
